1. Acceptance of Terms
By accessing or using the BrokerOS platform, website, or services ("Services") operated by BrokerOS ("we," "our," or "us"), you agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree to these terms, please do not use our Services. Your continued use of the Services constitutes acceptance of these terms.
2. Eligibility
Our Services are intended for use by licensed mortgage brokers, mortgage agents, brokerages, and their authorized staff in Canada. You represent that you are authorized to use the Services in connection with your professional activities and that you will comply with all applicable regulatory requirements, including those of the Real Estate Council of Alberta (RECA), other provincial regulators, and federal law (including FINTRAC/PCMLTFA where applicable).
3. Nature of Services
BrokerOS provides a software platform and technology tools to assist mortgage professionals with client management, applications, documents, communications, marketing, and related workflows. BrokerOS is a technology provider only. We do not:
- Provide mortgage advice to consumers or borrowers
- Arrange, originate, or fund mortgages
- Act as a lender, brokerage, or mortgage administrator
- Guarantee any rates, approvals, or outcomes
You are solely responsible for the advice, services, and compliance obligations you provide to your clients. Use of our platform does not create a client relationship between BrokerOS and any borrower or consumer.
4. No Professional Advice
The Services and any content, calculators, or tools provided are for general informational and operational use only. BrokerOS does not provide legal, financial, tax, or regulatory advice. You are responsible for obtaining your own professional advice and for ensuring your use of the Services complies with the Real Estate Act, RECA rules, PIPEDA, PIPA (Alberta), FINTRAC/PCMLTFA, CASL, and all other applicable laws. We do not guarantee that use of our platform satisfies any regulatory or compliance requirements.
5. Your Obligations
You agree to:
- Provide accurate, complete, and current information when using the Services
- Use the Services only for lawful purposes and in accordance with these terms
- Comply with all applicable laws, including privacy (PIPEDA, PIPA), anti-spam (CASL), and anti–money laundering (PCMLTFA) where applicable
- Maintain the security of your account credentials and notify us of any unauthorized use
- Not use the Services to transmit harmful code, spam, or misleading content, or to infringe any third-party rights
- Obtain any required consents (e.g., from clients) before collecting, using, or disclosing personal information through the Services
6. Privacy and Data
Our collection, use, and disclosure of personal information is described in our Privacy Policy. By using the Services, you also agree to that policy. You are responsible for ensuring that your use of the Services (including any client data you input) complies with applicable privacy laws and that you have appropriate consent where required.
7. Third-Party Services
The Services may integrate with or link to third-party services (e.g., lenders, communication providers, calendar, e-signing). Your use of those services is subject to their respective terms and policies. We are not responsible for the availability, content, or practices of third-party services.
8. Intellectual Property
The Services, including software, design, text, graphics, and other content (excluding your data), are owned by BrokerOS or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to access and use the Services for your internal business use in accordance with these terms. You may not copy, modify, distribute, or create derivative works from our Services or content without our prior written consent.
9. Disclaimer of Warranties
The Services are provided "as is" and "as available" to the fullest extent permitted by applicable law. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.
10. Limitation of Liability
To the maximum extent permitted by applicable law, BrokerOS and its affiliates, directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or in connection with your use of the Services, even if advised of the possibility of such damages. Our total liability for any claims arising from or related to these terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim (or one hundred Canadian dollars (CAD $100), if greater). Some jurisdictions do not allow certain limitations; in such cases, our liability will be limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless BrokerOS and its affiliates, directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your breach of these terms; (c) your violation of any law or third-party right; or (d) any dispute between you and a client, lender, or other third party in connection with your use of the Services.
12. Termination and Suspension
We may suspend or terminate your access to the Services at any time, with or without notice, for breach of these terms, for operational or legal reasons, or at our discretion. You may stop using the Services at any time. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive (including Limitation of Liability, Indemnification, and Governing Law) will survive termination.
13. Changes to These Terms
We may update these Terms of Use from time to time. We will post the revised terms on this page and update the "Last updated" date. Material changes may be communicated by email or a notice within the Services. Your continued use of the Services after the effective date of changes constitutes acceptance of the revised terms. If you do not agree, you must stop using the Services.
14. Governing Law
These Terms of Use are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any dispute arising from or relating to these terms or the Services shall be subject to the exclusive jurisdiction of the courts of the Province of Alberta.
